Persons duly authorised by the contract agent shall have full access to all the human care arrangements of the provider and to the related records and documents in which they are kept at any reasonable time for as long as the records are kept. The service provider shall ensure that adequate, competent and trained personnel are provided to oversee the execution of the activities supported by this Agreement. In addition, suppliers ensure that employee qualifications and certifications meet the requirements of the jurisdiction that governs the company. 1. DOH retains ownership of all customer data created under this Agreement. To ensure the protection of customer/patient privacy and full compliance with District of Columbia regulations and policies, Provider may not publish scientific or technical articles based on such data and/or information without the prior permission and written consent of the DOH. DOH will not unreasonably refuse to consent to Supplier`s requests for the publication or reproduction of data in professional and scientific publications. This Agreement constitutes the entire agreement between the parties and all other communications prior to its performance, written or oral, relating to the subject matter of this Agreement shall be superseded by this Agreement. The Contractor may, at any time, in writing and without notice of warranty, if any, make changes or modifications to the Agreement within the scope, services or service rates of the Agreement. The contract agent may make purely bureaucratic or administrative corrections by amending the contract in writing to the supplier.
Or if the Contractor is declared insolvent by a court of competent jurisdiction, it has the right to obtain a single copy of the current version of the source code provided under the Contract and a single copy of the related documentation solely for its own and sole use, after the person who controls the source code, the reasonable cost of making each copy is paid. While there is some flexibility in the services offered under this agreement, these funds cannot be used to make cash payments to customers or mortgage payments. The services requested in the agreement support the conditions set out in the Housing Services Service Standards as developed by the Metropolitan Washington Regional Xxxx Xxxxx HIV/AIDS Planning Council. Service standards can be found in Appendix A of this document. Service standards define the minimum acceptable level of quality in service delivery and ensure consistency of service in the Washington EMA. Customers must receive the same quality of service, no matter where and by whom the service is provided. 1. Existing Products: Ownership of all existing Licensed Products, whether incorporated into custom hardware or products, delivered or operated in conjunction with custom hardware or products, remains with the contractor or owner of a third party who retains all right, title and interest (including patents, trademarks or copyrights).
